Community Development & Project Structuring

We represent national and local homebuilders and developers in the formation, structuring, and governance of homeowners', property owners', and condominium associations across Florida. Our attorneys have structured planned communities encompassing more than 50,000 homes in over 250 communities, from a few dozen lots to large master-planned developments. Our experience spans residential, age-restricted, build-for-rent, commercial, and mixed-use projects, including governance documents, cost-sharing agreements, easements, restrictive covenants, and purchase agreement disclosures.

Condominium Documentation & Registration

We prepare and register condominium documents for the full range of condominium products, including mixed-use, hotel, and townhome condominiums. Our work covers declarations, governance documents, and disclosure materials, as well as due diligence for the acquisition of condominium units. Our attorneys have also participated in shaping the law in this area, serving on The Florida Bar subcommittee responsible for proposing statutory revisions to the Florida Condominium Act.

Real Estate Acquisitions & Dispositions

Real Estate Finance

We represent developers, builders, and property owners in the purchase and sale of residential and commercial real estate, including land for master-planned communities. Our attorneys handle the transaction from letter of intent through closing — drafting and negotiating purchase and sale agreements, conducting due diligence on thousands of residential lots and units, and reviewing and resolving title matters.

We represent owners and operators of multifamily apartment communities in the acquisition, financing, and disposition of assets throughout Florida and the Southeast. Our attorneys have closed multifamily transactions ranging from $14 million to more than $90 million, including capital markets financing for acquisitions. We also serve as Florida local counsel for out-of-state owners and lenders.

We represent borrowers and lenders in the financing of real estate acquisitions and development, from loan documentation and negotiation through closing. Our experience includes securing acquisition financing in capital markets transactions and preparing the security instruments, notes, releases, and estoppels that support real estate lending.
